Account Creation

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

Account Security

You are responsible for safeguarding the password that you use to access the Platform and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account.

You agree to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Account Types

We offer different types of accounts:

• User Accounts: For individuals seeking motivational content.
• Advertiser Accounts: For individuals or businesses wishing to promote their services through our platform.
• Affiliate Accounts: For individuals or businesses participating in our affiliate program.

Account Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform or contact us to request account deletion.

General Rules

When using our Platform, you agree not to:

• Use the Platform in any way that violates any applicable laws or regulations.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Platform or servers or networks connected to the Platform.
• Attempt to gain unauthorized access to any portion of the Platform or any other systems or networks connected to the Platform.
• Use any robot, spider, or other automated device to access the Platform for any purpose without our express written permission.

Content Guidelines

While we embrace unfiltered wisdom and direct communication, certain content is still prohibited on our Platform:

• Content that promotes illegal activities or violates applicable laws.
• Content that contains explicit sexual material or pornography.
• Content that promotes violence against specific individuals.
• Content that contains malware, viruses, or other harmful code.
• Content that infringes on intellectual property rights of others.
• Content that constitutes spam or unauthorized commercial communications.

We reserve the right to remove any content that violates these guidelines or that we determine, in our sole discretion, is harmful to our Platform or users.

Our Content Philosophy

Sheep is built on the principles of uncompromising truth, personal responsibility, and merit-based excellence. We do not censor content based on political correctness or subjective offense. We believe in:

• Direct, honest communication about success and failure
• Challenging conventional wisdom and comfort zones
• Promoting personal accountability and ownership
• Celebrating achievement based on merit and results

Content that may be considered controversial, challenging, or uncomfortable but aligns with these principles is welcome on our platform.

Campaign Requirements

For Advertisers using our platform:

• Minimum campaign budget is $5,000 USD.
• All campaigns are subject to review before going live.
• Campaigns must align with our platform's focus on motivation, personal development, and success.
• Advertisers must provide accurate information about themselves and their services.
• Quotes and content must be original or properly attributed if using third-party content.

Campaign Performance

We guarantee the number of quote views based on your campaign budget. If we fail to deliver the guaranteed views, we will provide additional exposure at no extra cost or issue a partial refund for the undelivered portion.

While we provide estimates for profile clicks and engagement rates, these are not guaranteed as they depend on user behavior and content quality.

Payment Terms

• Full payment is required before campaigns go live.
• We accept bank transfers and major cryptocurrencies.
• All fees are non-refundable except as specified in our refund policy.
• Prices are subject to change, but changes will not affect campaigns that have already been paid for.

Campaign Rejection and Termination

We reserve the right to reject or terminate any campaign that violates our content guidelines, misrepresents services, or otherwise conflicts with our platform's values and objectives.

If a campaign is terminated due to violations of these Terms, no refund will be issued.

Commission Structure

• Affiliates earn 10% lifetime commission on all referred client spending.
• Commissions are calculated based on the net amount paid by the referred client.
• "Lifetime" means for as long as the referred client continues to use our services and both the affiliate and Sheep remain in business.

Referral Attribution

Referrals are tracked using unique affiliate links or codes. A client is considered your referral if they:

• Click your affiliate link and sign up within 30 days.
• Use your affiliate code during the registration process.
• Are directly referred by you and confirmed by our team.

Payment Terms

• Commissions are paid monthly, 30 days after the client's payment is received.
• Minimum payout threshold is $100 USD.
• Payments are made via bank transfer or cryptocurrency, as specified in your affiliate account.
• Affiliates are responsible for any taxes or fees associated with their commission payments.

Prohibited Activities

Affiliates must not:

• Bid on "Sheep" or brand-related keywords in search engines.
• Create fake reviews or testimonials about our services.
• Engage in spam or unsolicited email campaigns.
• Make misleading claims about earnings or results.
• Refer themselves or create fraudulent accounts.

Violation of these prohibitions may result in commission forfeiture and termination from the affiliate program.

Program Termination

Either party may terminate affiliate participation at any time with written notice. Upon termination:

• You will receive commissions earned prior to termination, subject to the minimum payout threshold.
• You must cease using all Sheep promotional materials and remove affiliate links from your properties.
• If terminated due to violations, we reserve the right to withhold unpaid commissions.

Our Intellectual Property

The Platform and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Sheep and its licensors. The Platform is protected by copyright, trademark, and other laws of both Hong Kong and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Sheep.

User Content

By posting content on our Platform (including quotes, profiles, and other materials), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing and promoting our services.

You represent and warrant that you own or have the necessary rights to the content you post and that such content does not violate the rights of any third party.

Copyright Infringement

If you believe that any content on our Platform infringes upon your copyright, please contact us at legal@sheep.fail with the following information:

• A description of the copyrighted work you claim has been infringed.
• The location on our Platform where the allegedly infringing material is located.
• Your contact information.
• A statement that you have a good faith belief that the use is not authorized.
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Disclaimer of Warranties

THE PLATFORM AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEEP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM;
• ANY CONTENT OBTAINED FROM THE PLATFORM; OR
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING OUR PLATFORM DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Sheep, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform or your violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions.

Arbitration

Any dispute arising from or relating to these Terms or your use of the Platform shall be exclusively resolved through binding arbitration in Hong Kong in accordance with the rules of the Hong Kong International Arbitration Centre.

The arbitration shall be conducted in English by a single arbitrator. The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL.

Entire Agreement

These Terms constitute the entire agreement between you and Sheep regarding your use of the Platform and supersede any prior agreements between you and Sheep relating to your use of the Platform.

Waiver and Severability

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.

Amendments

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
